1. Introduction

Welcome, and thank you for your interest in TranscriptAI Pty Ltd (ABN 81 693 318 026) ("TranscriptAI", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of our AI-powered transcription, analysis, and learning platform, including our website located at https://transcriptai.io, related applications, software, tools, and services (collectively, the "Service").

These Terms form a legally binding agreement between you ("you", "your", or "User") and TranscriptAI Pty Ltd.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which forms part of these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. If you are under 18 years of age, you may only use the Service with the consent of a parent or legal guardian.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.

3. Account Registration

You may need to create an account to access certain features of the Service.

You agree to:

  • provide accurate, current, and complete information during registration
  • maintain the security and confidentiality of your login credentials
  • notify us immediately of any unauthorised access to your account
  • not share your account credentials with any third party

You are responsible for all activity that occurs under your account. TranscriptAI is not liable for any loss arising from unauthorised use of your account.

4. Description of the Service

TranscriptAI is an AI-powered transcription, analysis, and learning platform. The Service enables users to upload audio recordings and documents, generate transcripts using artificial intelligence, create summaries and analyses, produce study materials, and access related productivity tools.

We reserve the right to:

  • add, modify, suspend, or discontinue features of the Service at any time
  • impose or adjust usage limits based on your subscription plan
  • perform scheduled or unscheduled maintenance

TranscriptAI does not guarantee that the Service will be uninterrupted, error-free, or available at all times. We will make reasonable efforts to maintain availability but accept no liability for downtime or service interruptions.

5. Plans, Pricing & Billing

TranscriptAI offers multiple subscription plans including Free, Starter, Premium, Pro, and Enterprise tiers, as described on the Pricing page.

  • Paid plans are billed in advance on a recurring basis (monthly or annually)
  • You can cancel at any time and access continues until the end of the period you have paid for. We do not refund partial periods.
  • Where the Australian Consumer Law requires a refund (for example a major failure), we provide it.
  • Other refund requests within 14 days of purchase are considered case by case.
  • Usage limits and feature access vary according to your selected plan
  • Enterprise pricing may be subject to a separate written agreement

Payment Processing

All payments are processed by third-party payment providers, including Stripe. TranscriptAI does not directly store your credit card or payment card details. Your use of payment services is subject to the terms and privacy policies of those providers.

We may change pricing with reasonable prior notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

6. Acceptable Use

You must not use the Service to:

  • violate any applicable law, regulation, or third-party rights
  • infringe upon intellectual property, privacy, or publicity rights
  • upload, transmit, or store unlawful, abusive, defamatory, or harmful content
  • attempt to reverse engineer, decompile, or disassemble the Service
  • interfere with the security, integrity, or performance of the Service
  • use automated means (bots, scrapers) to access the Service without our written consent
  • resell or redistribute the Service or AI-generated outputs for commercial purposes without authorisation

We reserve the right to investigate violations and may suspend or terminate accounts that breach these Terms, with or without notice.

7. Content & Data

Your Content

You retain full ownership of all content you upload to the Service, including audio recordings, documents, transcripts, and any other materials ("User Content").

By using the Service, you grant TranscriptAI a limited, non-exclusive, royalty-free, worldwide licence to process, store, and transmit your User Content solely for the purpose of providing and improving the Service to you. This licence terminates when you delete your User Content or close your account, except where retention is required by law.

You represent and warrant that you have all necessary rights and permissions to upload User Content and that your content does not infringe any third-party rights.

AI Output

The Service uses artificial intelligence technologies to generate transcripts, summaries, analyses, and other outputs ("AI Output").

AI-generated outputs may contain inaccuracies, omissions, or incorrect information. Outputs are generated automatically and should not be relied upon as professional, legal, medical, academic, or financial advice.

You are solely responsible for reviewing and verifying AI-generated outputs before relying on them for any purpose.

TranscriptAI does not guarantee the accuracy, completeness, or reliability of any AI Output. To the maximum extent permitted by law, TranscriptAI disclaims all liability for decisions or actions taken based on AI Output.

De-identified & Aggregated Data

TranscriptAI may use de-identified and aggregated data derived from your use of the Service to improve AI system performance, enhance features, and develop new products. De-identified data cannot reasonably be used to identify you and is not considered personal information under the Privacy Act 1988 (Cth).

8. Privacy

Our collection, use, and handling of personal information is governed by our Privacy Policy, which forms part of these Terms.

By using the Service, you consent to the collection and processing of your information in accordance with the Privacy Policy and the Australian Privacy Act 1988 (Cth).

TranscriptAI does not sell personal information.

9. Intellectual Property

The Service, including all software, source code, design, branding, logos, trademarks, and content (excluding User Content), is owned by or licensed to TranscriptAI and is protected by Australian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or otherwise exploit any part of the Service without our prior written consent.

10. Third-Party Services & Providers

The Service relies on third-party service providers to deliver certain functionality, including but not limited to:

  • Infrastructure providers: for hosting, storage, and content delivery
  • AI processing providers: for transcription, analysis, and natural language processing
  • Payment providers: including Stripe for payment processing
  • Analytics providers: for usage analytics and performance monitoring

These providers may operate in jurisdictions outside Australia. TranscriptAI takes reasonable steps to ensure that third-party providers handle data in accordance with applicable privacy laws.

TranscriptAI is not responsible for the terms, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

11. Service Availability & Interruptions

TranscriptAI endeavours to maintain a reliable and available service. However, we do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

  • scheduled or emergency maintenance
  • infrastructure or third-party provider outages
  • force majeure events beyond our reasonable control

We will make reasonable efforts to notify users in advance of planned service interruptions where practicable.

12. Suspension & Termination

We may suspend or terminate your access to the Service if you:

  • breach these Terms
  • misuse the Service or engage in prohibited conduct
  • fail to pay applicable subscription fees
  • engage in activity that poses a security risk to the Service or other users

You may cancel your account at any time through your account settings. Upon cancellation, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

13. Disclaimers

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis
  • TranscriptAI makes no warranties or representations regarding the accuracy, reliability, completeness, or fitness for purpose of the Service or AI Output
  • AI-generated outputs are not professional, legal, medical, academic, or financial advice
  • TranscriptAI does not guarantee the accuracy of any transcript, summary, or analysis generated by the Service

14. Limitation of Liability

To the maximum extent permitted by applicable law, TranscriptAI is not liable for:

  • any indirect, incidental, special, or consequential loss or damage
  • loss of data, profits, revenue, or business opportunities
  • reliance on AI-generated content or outputs
  • any interruption or loss of access to the Service

To the extent permitted by law, TranscriptAI's total aggregate liability arising out of or in connection with these Terms or your use of the Service is limited to the total amount paid by you to TranscriptAI in the twelve (12) months immediately preceding the event giving rise to the claim.

15. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable legislation that cannot be lawfully excluded, restricted, or modified.

If the Australian Consumer Law applies to you as a consumer, you may have rights and remedies that cannot be excluded or limited by contract, and these Terms do not affect those rights.

16. Indemnity

You agree to indemnify and hold harmless TranscriptAI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • your use or misuse of the Service
  • your breach of these Terms
  • your violation of any applicable law or regulation
  • your infringement of any third-party rights
  • User Content uploaded by you

17. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.

You irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia, and any courts entitled to hear appeals from those courts.

18. Dispute Resolution

In the event of a dispute arising under these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through the courts of New South Wales, Australia.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TranscriptAI regarding your use of the Service. These Terms supersede all prior agreements, representations, and understandings.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal obligations, or business practices.

Material changes will be communicated to you via the Service, email, or other reasonable means. The updated Terms will indicate the "Last updated" date at the top of this page.

Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
